Products supplied by VWR International must be used under the sole responsibility of the professional user in accordance with the manufacturer's documentation and specifications. VWR International is normally not authorized to sell certain products (Active Pharmaceutical Ingredients) as they cannot meet the requirements of the applicable regulations (Good Manufacturing Practices). With very few exceptions, our products may not be used as active pharmaceutical ingredients in human or veterinary medicine. For use in pharmaceuticals, cosmetics, pesticides, food additives, and medical devices, the customer should contact the VWR sales organization. Customers who decide to use our products for the above uses or any other unintended use should carry out their own checks and controls to ensure that they comply with applicable laws and regulations (eg European Pharmacopoeia). VWR International cannot be held responsible if the customer uses the product incorrectly and incorrectly. The customer then has to bear the damages resulting from the misuse of the product. VWR International may charge the customer a fixed amount in connection with the increase in oil prices.
Prices apply to merchandise delivered on the ground floor, unpacked and disassembled. Any additional service related to the installation will have an additional cost.
payment conditions
Unless otherwise agreed in writing, payments are due net and without deduction 30 days after the invoice date. Any deterioration of the client's solvency may justify the requirement of guarantee, payment in cash or guarantee prior to the execution of the orders.
Payment for any installment is normally due on the due date indicated on the applicable invoice and not at the time the balance is delivered.

Delivery and reception of goods.
VWR International chooses the shipping method that it considers most suitable for its client.
Products listed in the ADR (International Regulations on the Transport of Dangerous Goods) are shipped in accordance with the applicable regulations.
The customer will be charged a flat rate for heavy and bulky products or those that require special conditions of transport and packaging (for example, transport at controlled temperature), as well as for any urgent shipment. It is the customer's responsibility to ensure the dimensions of the spaces (stairs, door, room, etc.) to receive the requested equipment.
The sale of alcohol is subject to very strict regulations that the customer must adhere to. The sale of ethyl alcohol is controlled by the Customs Directorate, therefore, before each delivery, the client must send a copy of the alcohol purchase permit issued by the Customs Directorate.
The delivery times indicated in the VWR International documents (estimate, order confirmation, etc.) are for information only. If these deadlines are exceeded, no reminder fees or damages can be claimed. Delivery can only take place if the customer is in good standing with VWR International.
The customer undertakes at the time of receipt:
-check the condition and quantity of the goods received (number of packages received compared to the number of packages indicated in the transport document) open the packages, if necessary, in the presence of the carrier,
-in case of breakdowns, damaged packaging or lack of reservations in the transport document,
-Notify and send your reservations by registered letter with acknowledgment of receipt within 72 hours of receipt to the carrier in accordance with article L133-3 of the Commercial Code.
Manifest defects must be communicated in writing within 10 business days following the arrival of the merchandise at the place of delivery, regardless of the measures that must be taken with the carrier. This claim must contain the references that appear on the invoice and the batch number of the product. If these requirements are not met, the merchandise will be considered accepted by the customer.
return of goods
Returns will not be accepted without the prior written consent of VWR International stating the terms and conditions. In this case, the products will be returned in their original packaging and postage paid to the address provided to the customer.
When returning dangerous goods, the client is obliged to comply with the applicable regulations (ADR, IMDG, IATA, etc.).
The customer will be charged a flat fee for the costs of inspection and replacement. If the returned product is unsalable, VWR International may charge the customer for the cost of destruction.
Out of stock, special or custom orders (eg subcontracting, TPP) that are not part of VWR International's standard offering will not be accepted.
Guarantee
Unless otherwise stated, products sold by VWR International are warranted for a period of 12 to 24 months from:
-Technical reception of installed goods,
-From the delivery date for uninstalled goods.
The guarantee covers hidden defects or design defects derived from a material or manufacturing defect that affects the products delivered and renders them useless.
This guarantee is limited to the repair of the goods in the workshops of the customer or, where appropriate, VWR International or the manufacturer. If rectification is not possible, it is limited to the replacement of non-contractual goods or goods affected by a defect.
Any guarantee is excluded in case of misuse, negligence or lack of maintenance by the client, as well as normal wear and tear of the goods or in cases of force majeure.
The replacement of defective products or parts does not extend the above warranty period. Replacement parts are guaranteed for 3 months from the date of replacement by a person approved by VWR International. The customer is not guaranteed the availability of spare parts during a certain period of time.
In the event of a dispute, all the contested measures must be adopted within a maximum period of one year from the delivery or technical inspection of the merchandise in question.
Post-warranty maintenance: After the warranty has expired, VWR International can offer the customer a maintenance contract tailored to their needs.
responsibilities
VWR International is bound by a commitment of funds. Your responsibility is limited to the price obtained for the product sold, as well as the different costs caused by its replacement or repair. VWR International is not responsible for consequential damages suffered by the customer and/or third parties.
However, VWR International may be held liable if damage to third parties, property or personnel of the Client is shown to be the result of a serious and/or willful failure on the part of VWR International to provide the service covered by these Terms. and General Conditions.
The customer assumes his contractual civil liability towards VWR International.
Force Majeure
Any unforeseen and irresistible event beyond the control of the parties that prevents or reduces production and/or services will be considered a case of force majeure and will release VWR International from the delivery obligation.
Data Protection
vWR International protects the client's personal data. The client has the right to access, modify, correct and delete the personal information submitted to VWR International. The customer can exercise this right by sending a written request to VWR International.

To combat pollution and ensure regulatory compliance, VWR International recycles all of its furniture, electrical and electronic equipment, and makes financial contributions to various environmentally conscious organizations.
Export
These General Conditions of Sale apply to sales in mainland France. If the customer intends to export the products, he undertakes to contact the export department of VWR International. Any export of VWR products must comply with applicable regulations (especially export control and compliance with anti-corruption laws) and is your own responsibility. The products we sell are packaged for shipment to France. When exporting, it is the customer's responsibility to ensure that the outer packaging that he has made complies with the regulations.
For export sales and in DOM-TOMs, prices apply ex-factory. A minimum order quantity is required. Below this amount, the customer will be charged a flat rate processing fee.
anti-corruption
VWR International is governed by US law.Foreign Corrupt Practices Act of 1977 ("US FCPA") and French anti-corruption law. The client agrees to comply with applicable anti-corruption laws and regulations.
Jurisdiction Clause - Applicable Law
These General Conditions of Sale are governed by French law.
The parties will seek an amicable settlement prior to any disputed action. In the event of a dispute, the courts of Créteil shall have exclusive jurisdiction, unless VWR International chooses another competent court. This clause also applies to class, joint or multiple defendants or warranty claims, without the jurisdiction clauses contained in the customer documents precluding the application of this clause.
